Contract Management Specialist, Technology Management (Full-Time) Donald Danforth Plant Science Center


Reporting to the Intellectual Property Portfolio Manager, the Contract Management Specialist is responsible for supporting Danforth Center personnel by providing overall contract oversight. The position is responsible for development and/or review of and participates in negotiations of the following types of contracts and agreements:

  • Material transfer agreements (MTAs) and confidentiality agreements (CDAs)
  • Intellectual Property (IP) license agreements and related IP contracts associated with the transfer of IP and research materials with both industry and non-profit research institutions
  • Various customer service agreements and facility rental/license agreements
  • Vendor, Consultant and outside contractor agreements
  • Other miscellaneous contracts and agreements

  • Responsible for the negotiation of contract and agreement language, primarily the drafting, review, and revision of contract language and agreement terms that minimize risk exposure in accordance with Danforth Center policies and best practice
  • Work closely with the VP of Finance, Director of Technology Transfer, Sponsored Research Compliance Manager, outside counsel, faculty, department administrators, and numerous outside parties to negotiate favorable business terms
  • Perform contract risk analysis, advise management regarding contractual rights and obligations and escalate contract terms to management for review when risk exposure dictates
  • Create, maintain, and update contract records and document copies in contract management software, monitor contract and agreement termination or renewal dates, and other compliance requirements
  • Maintain and enhance Danforth Center library of contract and agreement templates and coordinate periodic legal review by outside counsel
  • Maintain Patent application records and docket along with associated documents using Inteum software
  • Prepare patent and agreement docket reports and assist Tech Transfer Director with patent data collection
  • Responsible for federal Invention Reporting Compliance in iEdison
  • Maintain the Danforth Trademark portfolio; monitor renewal deadlines and other docketing requirements; assist internal management on all Trademark projects
  • Perform system administration functions for Inteum software
  • Other duties as assigned

Qualifications / Requirements

Required knowledge, skills, and abilities:

  • Ability to function effectively under tight deadlines

  • Excellent customer service orientation
  • Proficiency in Microsoft Office suite (Word, Excel, PowerPoint), knowledge of contract management software beneficial
  • Basic understanding of intellectual property protection and licensing principles and experience with technology transfer agreements helpful
  • Ability to work effectively with outside parties, and with faculty and administrative staff at the Danforth Center

  • Bachelor’s, Paralegal degree or equivalent with a minimum of three years of progressively responsible experience with contract and agreements in university or industry setting
